Elisa Erlenbach Maas focuses on rendering advice as to matters of Delaware law relating to Delaware limited partnerships, general partnerships and limited liability companies, including with respect to formation, operation, governance and dissolution matters.
A director in the firm's Limited Liability Company and Partnership Advisory Group, Elisa is involved in providing advice and legal opinions in connection with a wide range of transactions involving Delaware limited partnerships and general partnerships and Delaware limited liability companies, including investment fund, joint venture, structured finance and preferred securities transactions. Her practice also involves rendering advice with respect to mergers, acquisitions, conversions and other structural changes involving Delaware alternative entities.
Working with some of the country’s largest corporations and their subsidiaries, Elisa handles joint venture transactions between Fortune 500 companies, cross-border transactions involving some of the world’s largest banking institutions, and transactions involving billion-dollar private equity funds. She also renders advice concerning the operations, financing transactions and dissolutions of private equity funds and assists with regard to litigation matters involving Delaware LLCs and LPs.
Ms. Maas is a frequent speaker on issues concerning LLCs and LPs. She has served as an attorney guardian ad litem through Delaware’s Office of the Child Advocate and as a mentor at a local elementary school.
